As a private lender should I be looking at my state laws regarding usury (interest rates) and registration with different state bodies or regulatory agencies? Such as banking and finance agencies. New York state and some other states seem to be highly regulated when it comes to making loans are there any states that I should domicile in? And how would diversity jurisdiction play into this?

Great points and you should consult with a local attorney. Every state is different when it comes to private lending. Take CA for example they take a very broad approach to their regulation and I believe the only exemption is 5 or fewer loans in a 12 month period plus private lending can not be your primary business.

@@ClintCoons Hey Clint, Thank you for the response. I am a former 20-year-plus attorney and lobbyist. I use to work for the IRS and we use to conduct joint investigations with state regulators when I was at the IRS for 15 years.

You could but I would have the trust set up with an LLC or corporation as the beneficiary unless you were using a Wyoming Statutory Trust.

question on this structure, for this same purpose, while not living in WY or NV. Would i have to register my Holdco & Operating business in the state where I live like GA or FL. The lending will be for digital online businesses (not real estate) so I do not know in what state the loan recipient business resides. I would lend from my operating business as you've described. Anonymity/Protection is important.

If you aren't actively soliciting borrowers in a state you could probably use WY or NV for your lending.
